End User License Agreement

END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement,” “EULA,” or “License”) is a legally binding contract between you (“User,” “you,” or “your”) and Nerds Expert (“Company,” “we,” “our,” or “us”) governing your download, installation, activation, access, and use of software products distributed through the Nerds Expert website, including but not limited to the PC optimization software SysNet Cleaner, antivirus programs, utilities, associated media, printed materials, online documentation, updates, and related services (collectively referred to as the “Software”).

By downloading, installing, copying, activating, or using the Software in any manner, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must immediately discontinue use and remove the Software from your device.

1. Grant of License

Subject to your full compliance with this Agreement and completion of any required payment or authorization, Nerds Expert grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Software solely for lawful purposes.

This license permits you to:

• Install the Software on the number of devices specified in your purchase
• Use the Software for personal use or internal business operations
• Access features included in the purchased license tier
• Receive updates or support only if explicitly included

This license does not grant you any ownership rights in the Software. All rights not expressly granted are reserved by Nerds Expert and its licensors.

2. Nature of License — Software is Licensed, Not Sold

The Software is provided to you under license and is not sold. All intellectual property rights, including but not limited to copyrights, patents, trademarks, trade secrets, design rights, and proprietary technologies, remain the exclusive property of Nerds Expert and/or its third-party licensors.

Your purchase grants only the right to use the Software under specific conditions. You do not acquire ownership of the Software or any underlying technology.

3. Scope of Permitted Use

You may use the Software solely for lawful purposes and in accordance with this Agreement. Permitted uses include:

• Installing and operating the Software on compatible devices
• Using the Software to optimize, maintain, or protect computer systems
• Running scans, diagnostics, or maintenance tools provided
• Accessing documentation and support resources where available

Use of the Software must comply with all applicable local, national, and international laws and regulations.

4. Restrictions on Use

To protect the integrity of the Software and intellectual property rights, you agree that you will NOT:

• Copy, reproduce, duplicate, or distribute the Software except as expressly permitted
• Sell, rent, lease, sublicense, assign, or transfer the Software to any third party
• Share, publish, or disclose license keys or activation credentials
• Modify, adapt, translate, or create derivative works based on the Software
• Reverse engineer, decompile, disassemble, or attempt to extract source code
• Circumvent technical protection measures or licensing controls
• Remove or alter copyright notices, trademarks, or proprietary markings
• Use the Software to provide commercial services to others without authorization
• Use the Software in a manner that violates laws or third-party rights

Unauthorized activities may result in immediate termination of the license and possible legal action.

5. Activation, Licensing, and Device Limits

Certain Software products require activation using a license key, account credentials, or online verification.

You acknowledge and agree that:

• Each license is valid only for the number of devices purchased
• Activation may require internet connectivity
• License keys are confidential and must not be shared
• Unauthorized activation attempts may result in suspension or deactivation
• License duration typically begins upon activation unless stated otherwise
• Nerds Expert reserves the right to monitor license usage to ensure compliance.

6. Updates, Maintenance, and Feature Changes

During the license period, Nerds Expert may provide updates, patches, bug fixes, security improvements, or feature enhancements.

Updates may:

• Improve performance or reliability
• Address vulnerabilities
• Modify user interface or functionality
• Add, replace, or remove certain features

While updates are intended to improve the Software, Nerds Expert is not obligated to provide updates unless specifically included in the purchased product.

7. Third-Party Software and Components

Some products sold through Nerds Expert may incorporate or rely on software developed by third parties.

In such cases:

• Additional license terms from the third-party publisher may apply
• You agree to comply with those terms
• Nerds Expert does not control third-party software performance
• Support for third-party components may be limited

Use of third-party software is at your own risk.

8. System Requirements and Compatibility

You are responsible for ensuring that your device meets the minimum system requirements necessary to operate the Software.

Performance may vary based on:

• Hardware specifications
• Operating system version
• Existing software environment
• Security settings and permissions

Nerds Expert does not guarantee compatibility with all systems or configurations.

9. Data Collection and Privacy

To provide functionality, security, and improvements, the Software may collect limited technical and usage information, including:

• Device configuration details
• Software performance metrics
• Error reports and diagnostics
• License validation information

No personal data is collected beyond what is necessary for operation and service delivery unless otherwise disclosed. Data handling practices are governed by our Privacy Policy.

10. Subscription Licenses and Renewal

Certain Software licenses may be time-limited or subscription-based.

For subscription licenses:

• Access may expire at the end of the license period
• Renewal may be required for continued functionality
• Failure to renew may disable certain features or services
• Renewal terms will be disclosed at purchase

It is the user’s responsibility to manage renewal settings where applicable.

11. No Guarantee of Detection or System Improvement

While SysNet Cleaner and antivirus products are designed to improve system performance and security, Nerds Expert does not guarantee that:

• All system issues will be resolved
• All malware or threats will be detected or removed
• Performance improvements will be noticeable on every system
• The Software will operate without interruption or errors

Results depend on many factors beyond our control.

12. Disclaimer of Warranties

To the fullest extent permitted by law, the Software is provided “as is” and “as available,” without any warranties or guarantees of any kind.

We expressly disclaim all implied warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of results

Some jurisdictions may not allow certain exclusions; therefore, some limitations may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Nerds Expert shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Software.

This includes, but is not limited to:

• Loss of data
• System damage or malfunction
• Business interruption
• Loss of revenue or profits
• Security breaches beyond our control

Your sole remedy for dissatisfaction is to stop using the Software.

14. Termination of License

This Agreement remains in effect until terminated.

Your license may be terminated if you:

• Violate any provision of this Agreement
• Use the Software unlawfully
• Engage in unauthorized distribution or piracy
• Attempt to bypass licensing mechanisms

Upon termination:

• You must cease all use of the Software
• All copies must be removed from your devices
• Access to services may be revoked

Termination does not relieve you of obligations incurred before termination.

15. Indemnification

You agree to indemnify, defend, and hold harmless Nerds Expert from any claims, damages, liabilities, or expenses arising from:

• Your misuse of the Software
• Violation of this Agreement
• Infringement of third-party rights
• Illegal activities conducted using the Software

16. Export Control Compliance

The Software, related technologies, and associated documentation may be subject to export control laws, trade restrictions, and economic sanctions imposed by various governments and regulatory authorities. By downloading, installing, accessing, or using the Software, you agree to comply fully with all applicable export and import laws and regulations.

You represent and warrant that:

• You are not located in, under the control of, or a resident of any country or region subject to comprehensive trade sanctions or embargoes imposed by applicable authorities
• You are not listed on any government-maintained list of prohibited or restricted parties
• You will not export, re-export, transfer, or make the Software available to any individual, entity, or country in violation of applicable export laws
• You will not use the Software for any prohibited purpose, including activities related to unlawful surveillance, cybercrime, or any use restricted by law
• If export restrictions apply to your jurisdiction, you are solely responsible for obtaining any necessary licenses or approvals required for lawful use.

Nerds Expert reserves the right to suspend or terminate access to the Software if it reasonably believes that continued use may violate export regulations or sanctions.

17. Governing Law and Jurisdiction

This Agreement shall be governed by, interpreted, and enforced in accordance with the laws of the jurisdiction in which Nerds Expert operates, without regard to its conflict-of-law principles.

By using the Software, you agree that:

• Any disputes, claims, or controversies arising out of or relating to this Agreement or the Software shall be subject to the exclusive jurisdiction of the competent courts located in that jurisdiction
• You consent to the personal jurisdiction of such courts
• You waive any objections based on inconvenient forum or lack of jurisdiction, to the extent permitted by law

Nothing in this section limits any rights you may have under mandatory consumer protection laws applicable in your country of residence. Where required by law, disputes may be resolved in your local jurisdiction.

18. Entire Agreement

This EULA constitutes the complete and exclusive agreement between you and Nerds Expert regarding the Software and supersedes all prior or contemporaneous agreements, communications, representations, negotiations, or understandings, whether written or oral, relating to the subject matter herein.

This means that:

• No statements or promises made outside this Agreement are legally binding unless incorporated here
• Any additional terms proposed by you shall not apply unless expressly accepted in writing by Nerds Expert
• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect

This Agreement operates alongside other applicable policies on our website, such as the Privacy Policy and Terms & Conditions.

19. Changes to This Agreement

Nerds Expert reserves the right to modify, update, or revise this EULA at any time to reflect changes in legal requirements, technological developments, business practices, or Software functionality.

When updates are made:

• The revised Agreement will be posted on our website with an updated effective date
• Material changes may be communicated through the Software, website notifications, or email, where appropriate
• Continued use of the Software after the updated Agreement becomes effective constitutes acceptance of the revised terms

If you do not agree to the modified terms, you must discontinue use of the Software and uninstall it from your devices.

Nerds Expert is not obligated to provide advance notice of non-material changes, but will communicate significant updates when reasonably possible.
